4. Indemnity Clause

4.1 You hereby indemnify Creditas on demand against all loss, damage, liability and/or expense (including, but not limited to reasonable legal costs and disbursements) incurred or suffered by Creditas to the extent arising from either: (i) your breach of these terms of use; (ii) your use of the Website and the Contents. The foregoing provisions of this Clause 4 shall not apply to the extent any such loss, damage, liability or expense arises as a result of Creditas’ breach of these Terms of Use.

Our responsibility for loss or damage suffered by you

4.2  Whether you are a consumer or a business user:

•      We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.

•      Different limitations and exclusions of liability will apply to liability arising as a result of the supply of any products to you, which will be set out in our Terms and conditions.

4.3  If you are a business user:

•      We exclude all implied conditions, warranties, representations or other terms that may apply to our site or any content on it.

•       We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

6. Applicable Law

6.1 The Website originates from, and is maintained in, the United Kingdom. England & Wales. Creditas makes no representations regarding the legality of access to or use of the Website and the Contents from/in other countries. Any export or use of the Contents by you must be in compliance with all UK export laws and regulations in effect at the time of such export or use, and is limited as described above in Clause 1 (Intellectual Property Rights) of these Terms of Use.

6.2 If you are accessing the Website from outside the United Kingdom then you do so at your own risk. You are responsible for compliance with any applicable laws of the country from which you are accessing the Website.

6.3 These terms of use shall be governed by and construed in accordance with the laws of England & Wales. The English and Welsh courts shall determine any disputes relating to your access to and use of the Website.

6.4 You and we both agree that the courts of England and Wales will have exclusive jurisdiction except that if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are resident of Scotland, you may also bring proceedings in Scotland.  f you are a business, these terms of use, their subject matter and their formation (and any non-contractual disputes or claims) are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.”

7. Severability

7.1 If any court of competent jurisdiction finds any provision of these terms of use to be void or unenforceable for any reason, such provision shall be ineffective to the extent of the courts finding without affecting the validity and enforceability of any remaining provisions.
